Treevah Terms & Conditions

1. Acceptance of Terms
1.1 By accessing or using Treevah (the “Service”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, do not use the Service.
1.2 These Terms form a legal agreement between you (“you,” “User”) and Treevah LLC (“Treevah,” “we,” “us,” or “our”).
1.3 You represent that you are at least 13 years old and have the legal capacity to enter into this agreement.
2. Description of the Service
2.1 Treevah is a cloud platform that helps you organize, manage, and access your files efficiently.
2.2 Core features include:
File upload, storage, and organization tools
Required integration with your personal Microsoft OneDrive account
File synchronization between OneDrive and Treevah
File editing through Microsoft applications
Advanced organization and management features
Cross-device access to organized files
2.3 Treevah’s primary value is advanced file and folder organization, not merely storage.
3. Account Registration and Microsoft Integration
3.1 Mandatory Account Requirements
You must sign up using the Microsoft Authentication Library (MSAL) with a personal Microsoft account.
Enterprise/educational Microsoft accounts are not supported.
You must provide accurate information during registration and keep your Microsoft credentials secure.
One account per person; sharing or creating multiple accounts to bypass limits is prohibited.
3.2 Required OneDrive Integration
OneDrive integration is mandatory; the Service cannot function without it.
You must grant Treevah, via Microsoft’s authorization flow, permission to:
Access your profile information
Access files in your OneDrive that you select for organization
Sync changes between OneDrive and Treevah
If you do not grant these permissions, you cannot use Treevah.
We access only the files you explicitly choose to organize; we do not access other OneDrive files.
4. User Responsibilities
4.1 Lawful Use
You agree to use Treevah only for lawful purposes and in compliance with applicable laws and regulations.
4.2 Prohibited Content and Activities
You may not upload/store/share: malware, illegal materials, child exploitation content, content that infringes others’ rights, or content that is harassing, hateful, threatening, or otherwise harmful.
You may not: attempt to hack or disrupt the Service; use automated scraping/tools without permission; interfere with other users; create multiple accounts to evade limits; reverse engineer our software; or use the Service for unauthorized commercial distribution.
4.3 Account Security
You are responsible for activity on your account. Notify support@treevah.com immediately if you suspect unauthorized access.
5. Service Availability and Technical Limitations
5.1 Availability
We strive for high availability but do not guarantee uninterrupted access. Scheduled maintenance may occur. We are not responsible for outages of Microsoft Azure, Microsoft OneDrive, Microsoft Graph API, or other third-party services on which Treevah depends, or for your internet/device/browser issues.
5.2 Storage Limits and Usage
Free Tier: up to 250 GB of storage (subject to change with notice).
If you reach limits, uploads may be restricted; you may need to delete files or upgrade to continue. Existing files remain accessible.
We may apply bandwidth/usage limits to ensure fair use and quality of service.
6. Microsoft Service Dependencies and Disclaimers
Treevah relies on Microsoft services (MSAL, OneDrive, Graph API, Azure). Microsoft may modify or interrupt these services. We will make reasonable efforts to adapt but cannot guarantee uninterrupted compatibility or perfect synchronization at all times (e.g., during high traffic or outages). Users should verify file versions after edits in Microsoft apps; conflicts may occur when files are edited simultaneously in multiple locations.
7. Intellectual Property Rights
7.1 Your Content
You retain ownership of files and content you upload or sync. You grant Treevah a limited, non-exclusive, royalty-free license to store, process, display, and back up your content as necessary to provide the Service and to assist you when you request support. This license ends when you delete the content or your account (subject to reasonable technical/backup delays).
7.2 Treevah IP
Treevah’s software, UI, designs, algorithms, code, trademarks, and related technology are our exclusive property. You may not copy, modify, distribute, reverse engineer, or create derivative works, nor use our marks without written permission. All rights not expressly granted are reserved.
8. Data Loss and Backups
8.1 Disclaimer
We are not liable for data loss, corruption, or unavailability due to hardware/software failures, Microsoft service disruptions, user error, security incidents, network issues, or suspension/termination.
8.2 Your Backup Responsibility
Maintain independent backups of important data. Our operational backups are for continuity/disaster recovery and are not a guarantee of user data recovery.
9. Payment Terms and Subscriptions
Free Tier: up to 250 GB (subject to change with notice).
Paid Plans: additional features/storage may be available for fees.
Payments: processed securely by Stripe; Treevah does not store payment card numbers.
Billing: monthly or annual, per your selection.
Refunds: generally non-refundable except where required by law or at our discretion.
Price Changes: we may change pricing with at least 30 days’ notice to existing subscribers.
Non-Payment: may result in suspension or termination.
10. Account Termination
10.1 By You
You may delete your account at any time via settings or by contacting us. Deleting an account ends access immediately and does not entitle you to refunds (unless required by law).
10.2 By Treevah
We may suspend/terminate for violations of these Terms, illegal activity, non-payment, extended inactivity (12+ months), abuse, or security risks. We will provide reasonable notice when appropriate.
10.3 Effects
Access ends immediately upon termination. Your files/data may be deleted after a grace period of up to 30 days. Certain sections (IP, liability limits, indemnification, dispute resolution) survive termination.
11. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, OR SECURITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID TO TREEVAH IN THE 12 MONTHS PRECEDING THE CLAIM.
WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING DATA LOSS, LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF USE/REVENUE, OR COSTS OF SUBSTITUTE SERVICES), OR FOR ISSUES CAUSED BY THIRD-PARTY SERVICES (E.g., Microsoft), YOUR INTERNET/DEVICE, OR THIRD-PARTY APPS.
12. Indemnification
You agree to indemnify, defend, and hold harmless Treevah LLC, its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of: (a) your use or misuse of the Service; (b) content you upload/store/share; (c) your breach of these Terms; or (d) your violation of third-party rights. This obligation survives termination.
13. Privacy
Your use of Treevah is also governed by our Privacy Policy. By using the Service, you consent to our data practices as described there.
14. Dispute Resolution and Governing Law
14.1 Governing Law & Venue. These Terms are governed by the laws of Delaware, USA, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction and venue of the state or federal courts located in Delaware, USA.
14.2 Informal Resolution. Before filing a formal claim, you agree to first contact support@treevah.com to attempt good-faith resolution.
14.3 Class Actions. To the fullest extent permitted by law, you agree any claims will be brought individually, not as a class or representative action.
15. General Provisions
15.1 Entire Agreement. These Terms and our Privacy Policy are the entire agreement between you and Treevah regarding the Service.
15.2 Severability. If any provision is found invalid or unenforceable, the remaining provisions remain in effect; any invalid term will be modified to the minimum extent necessary to be enforceable.
15.3 Assignment. We may assign these Terms; you may not assign your rights or obligations without our prior written consent.
15.4 No Waiver. Our failure to enforce a provision is not a waiver. Any waiver must be in writing and signed by Treevah.
15.5 Changes to Terms. We may modify these Terms at any time. We will provide prominent notice of material changes at least 30 days before they take effect. Your continued use after the effective date constitutes acceptance; if you do not agree, discontinue use.
